WE MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE ACCURACY, COMPLETENESS OR RELIABILITY OF ANY INFORMATION PROVIDED ON THE SITE.

Limitations of Liability

TO THE FULL EXTENT ALLOWED BY LAW, ALSANNA & ASSOCIATES LAW GROUP, ITS PARTNERS, ASSOCIATES, EMPLOYEES, AGENTS, CONTRACTORS, AND/OR AFFILIATED ENTITIES ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSSES OF PROFITS, DATA, USE OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR CONTENT OR SERVICES CONTAINED THEREIN, EVEN IF ADVISED OF THE POSSIBILITY OF THE DAMAGES. You will indemnify, defend, and hold harmless Alsanna & Associates Law Group, our partners, associates, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or resulting from (i) your use of the Site or any service or content therein, (ii) your violation of these Terms, (iii) your violation of any third-party right, including any intellectual property right or right of privacy or publicity, or (iv) your violation of any applicable law, regulation, or ordinance. Alsanna & Associates Law Group shall have the right but not the obligation to assume the defense and control of any matter for which you are indemnifying us, in which case you agree to cooperate with our defense of such claim at our expense.

Suspension and Termination of Services

Alsanna & Associates Law Group reserves the right, in its sole discretion, to terminate, suspend, or restrict your access to the Site or any part or section thereof at any time and for any reason (or no reason), including without limitation your breach of these Terms, your suspected fraudulent or abusive activity, or to comply with any applicable law or regulation. Upon termination, your authorization to use the Site automatically terminates and these Terms that by their nature should survive termination will survive, including without limitation any intellectual property rights, disclaimers, limitations of liability, and obligations to indemnify.

Copyright Infringement Policy and DMCA

Alsanna & Associates Law Group respects the intellectual property rights of others and we expect users of the Site to do the same. If you believe that any material on the Site infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing to us at [email protected] the following information:

  • A physical or electronic signature of a person authorized to act on behalf of the copyright owner
  • Identification of the copyrighted work claimed to have been infringed upon
  • Identification of the allegedly infringing material and its location on the Site
  • Contact information for the complaining party, including address, telephone number, and, if available, email address
  • A statement that you have a good faith belief that use of the material in question is not authorized by the copyright owner, its agent, or the law
  • A statement, made under penalty of perjury, that your claim of infringement is accurate and that you are authorized to act on behalf of the copyright owner

Upon receipt of a proper DMCA notice, we will take appropriate action, including removal or disabling access to the allegedly infringing material.

Governing Law and Jurisdiction

All matters relating to your access to or use of this Site and/or this Agreement, including all disputes, will be governed by the laws of the State of New York, without regard to its conflicts of laws principles. You agree that any action at law or in equity arising out of or relating to your use of the Site may be filed and adjudicated only in the state or federal courts located in New York County, New York. You hereby consent to and submit to the jurisdiction of such courts for the purposes of any such action.

Severability

If for any reason any provision of these Terms is found to be unlawful, void, or for any reason not enforceable, then that provision will be considered severable and will not affect the validity or enforceability of any remaining Terms or provisions. All remaining provisions will remain in full force and effect.

This is the “severability clause” often included in contracts. Courts routinely sever a bad provision (e.g., holding it up and saying, “ok I’m removing you because you’re unfair; but I’m keeping the rest”) because we need to be able to specifically enforce those provisions we want enforced.

You shall not assign or transfer any rights or obligations under these Terms without the prior, express, written consent of Alsanna & Associates Law Group. The Firm may assign its rights and obligations under these Terms at any time, without notice or consent.
